Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Be Quantum AI Innovations - L.L.C. ("BeQuantum AI," "we," "us," or "our"), a limited liability company registered in the Abu Dhabi Global Market (ADGM), Abu Dhabi, UAE.

By accessing or using our website at https://bequantum.ai (the "Site"), our APIs, testnet, demo tools, documentation, or any related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Services

BeQuantum AI provides post-quantum cryptographic blockchain infrastructure and related products, including:

• BQ Provenance API — Content certification and digital notarization using post-quantum cryptography (PQC).
• IceCase — Quantum-secure hardware wallet with QRNG and AI Guardian.
• BQ Sentinel — PQC-isolated sandbox environment for AI agents (coming soon).
• BQ Ledger — PQC-native blockchain infrastructure.
• Interactive Demo — Browser-based demonstration of the notarization process (simulated; no files are uploaded).
• Testnet — A public testing environment for developers to interact with our blockchain.

3. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account and Access

Certain Services may require registration or API key issuance. You are responsible for:

• Maintaining the confidentiality of your API keys and credentials
• All activity that occurs under your account or API key
• Immediately notifying us of any unauthorized use of your credentials

We reserve the right to suspend or terminate access to any account that violates these Terms or engages in suspicious activity.

5. Acceptable Use

You agree NOT to use the Services to:

• Violate any applicable law, regulation, or third-party rights, including laws of the UAE, ADGM regulations, and international sanctions
• Certify, notarize, or authenticate content that you know to be fraudulent, misleading, or infringing on intellectual property rights
• Attempt to gain unauthorized access to our systems, networks, or other users' data
• Reverse-engineer, decompile, or disassemble any part of the Services, except as permitted by applicable law
• Conduct denial-of-service attacks, automated scraping, or any activity that degrades the performance of the Services
• Use the Services in connection with money laundering, terrorist financing, or the circumvention of sanctions
• Impersonate any person or entity, or falsely represent your affiliation
• Upload or transmit malicious code, viruses, or harmful data

6. Intellectual Property

6.1 Our Intellectual Property

All content, software, designs, trademarks, logos, and documentation on the Site and within the Services are owned by or licensed to BeQuantum AI and are protected by intellectual property laws. "BeQuantum AI," "BQ Provenance," "IceCase," "BQ Sentinel," and "BQ Ledger" are trademarks of Be Quantum AI Innovations - L.L.C.

You may not copy, modify, distribute, sell, or lease any part of the Services or our intellectual property without our prior written consent.

6.2 Your Content

You retain full ownership of any content you submit through the Services (e.g., files certified via the API, contact form messages). By submitting content, you grant us a limited, non-exclusive license to process that content solely for the purpose of providing the Services.

For the Interactive Demo: no content is transmitted to us. Hashing occurs entirely within your browser.

6.3 Feedback

Any feedback, suggestions, or ideas you voluntarily provide may be used by us without restriction or obligation to you.

7. API and Testnet Terms

If you access our API or Testnet:

• Rate Limits: You agree to respect published rate limits. Excessive usage may result in throttling or temporary suspension.
• Testnet Disclaimer: The Testnet is a pre-production environment. Data on the Testnet has no monetary value and may be reset, deleted, or modified at any time without notice.
• No SLA on Testnet: We provide no uptime guarantee, service level agreement, or data persistence commitment for the Testnet.
• API Changes: We may modify, deprecate, or discontinue API endpoints with reasonable notice. We will make commercially reasonable efforts to maintain backward compatibility.

8. Blockchain Certificates and Notarization

• Certificates issued by our Services attest that a specific cryptographic hash was recorded on the BQ Ledger at a specific time.
• Certificates do not constitute legal notarization, authentication of content accuracy, or verification of authorship unless explicitly agreed in a separate commercial agreement.
• We do not guarantee that certificates will be accepted as evidence by any court, regulatory body, or third party.
• The immutability of blockchain records means that once a certificate is issued, it cannot be deleted or modified. You are responsible for ensuring the accuracy of the data you submit for certification.

9. Fees and Payment

Certain Services may be subject to fees as outlined in a separate commercial agreement or pricing page. Unless otherwise agreed:

• All fees are quoted in USD unless otherwise stated
• Fees are non-refundable except as required by law
• We may change pricing with 30 days' notice for existing customers

The Interactive Demo and Testnet are provided free of charge.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEQUANTUM AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless BeQuantum AI and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit for certification

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Abu Dhabi Global Market (ADGM), without regard to its conflict of law principles.

Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the ADGM Courts, Abu Dhabi, UAE.

Before initiating formal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to access the Services will immediately cease
• Existing blockchain certificates remain immutable and accessible on the ledger
• Sections 6, 8, 10, 11, 12, 13, and 17 survive termination

You may stop using the Services at any time. If you wish to delete your data, contact us at privacy@bequantum.ai.

15. Export Controls and Sanctions

The Services may incorporate cryptographic technology subject to export control laws. You represent and warrant that:

• You are not located in a country subject to comprehensive sanctions
• You are not on any restricted party list maintained by the US, EU, UK, UAE, or UN
• You will not use the Services in violation of any applicable export control or sanctions law

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, where practicable, by posting a notice on the Site. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

For enterprise customers with a separate commercial agreement, changes to these Terms do not override the terms of that agreement unless explicitly stated.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any applicable commercial agreement, constitute the entire agreement between you and BeQuantum AI.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, epidemics, government actions, or infrastructure failures.
• No Agency: These Terms do not create any agency, partnership, joint venture, or employment relationship between you and BeQuantum AI.
